  • INTRODUCTION: In this Agreement, Member refers to customer and GO Hairdressers Club refers to company or club. This Agreement explains GO Hairdressers Club obligations to Member, and Member obligations to GO Hairdressers Club.

  • APPLICATION: Applicant, when accepted by GO Hairdressers Club, is called "Member." Member represents and warrants that Member understands the procedures and the regulations of membership and is not relying on any representation or promise that is not contained in this Agreement or other official GO Hairdressers Club's material.

  • NO GUARANTY: Applicant agrees that, by registration of Applicant chosen domain/website name, such application does not confer immunity from objection to either the application or use of Applicant website name.

  • RIGHT OF REFUSAL: GO Hairdressers Club, its sole discretion, reserve the right to refuse to approve Applicant's chosen website name for any GO Hairdressers Club's membership, or to delete applicant's website name within the first thirty (30) days from receipt of Applicant's payment for this membership, GO Hairdressers Club agrees to refund any application fee(s) Applicant have paid. Applicant agree that GO Hairdressers Club shall not be liable to Applicant for loss or damages that result from GO Hairdressers Club's refusal to approve the deletion Applicant's website name or refusal to approve Applicant for the membership.

  • RECOMMENDING PROMISES: GO Hairdressers Club makes the promises contained here and in other official GO Hairdressers Club's material and no Member is authorized to make any other promises to a prospective Member. If Applicant relies on any promises made by a Member that are not in this Agreement and/or official GO Hairdressers Club's material, and that Member fails to keep any such promise, the Applicant shall only have recourse against such Member and not GO Hairdressers Club.

  • MEMBER RIGHTS & RESPONSIBILITIES: By applying to participate in the GO Hairdressers Club Membership, Applicant understands that Member will be bound by Agreement hereof and that Applicant will be entitled to participate as a Member, upon acceptance of a valid application by GO Hairdressers Club. Member will be eligible to collect commissions on all recommendation of new Applicants with provides Member's name and reference number in Applicant's application form. Member understands that to earn commissions by recommending, Member is responsible for providing full Membership's information by his/her self.

  • INDEPENDENT CONTRACTOR: Member agrees that Member is an independent contractor, and will have no authority to bind GO Hairdressers Club to any obligations. The relationship between Member and GO Hairdressers Club is established only by this Agreement and Member is not an agent, employee or any other legal representative of GO Hairdressers Club or its service providers. Member is solely responsible for all self-employment taxes that may be due as a result of Member's business activities. Member agrees to abide by any country or local laws, rules and regulations pertaining to this Agreement. At Member's own expense, Member will make, execute and file all such reports and obtain such licenses as are required by law or public authority with respect to this Agreement.

  • POLICY/RATE CHANGES: Member agrees that GO Hairdressers Club may, from time to time, revise the terms and conditions of this Agreement, change the compensation plan, rates, prices and charges, or this Agreement to be applicable to all Members. Any such revision or change will be effective immediately on posting the revised Agreement or changes on GO Hairdressers Club's websites, or upon notification to Member by email. Member agrees to periodically review GO Hairdressers Club's websites, including current version of this Agreement available on GO Hairdressers Club's websites, to be aware of any such revisions. If Member chooses to remain in the Membership, Member agrees to abide by those changes. Any such notice shall be deemed to have been given and received as of the day after such notice is posted on Member's website and/or the day the change is put on the GO Hairdressers Club's Conference Call, sent by email or other mode of mass communication. It is Member's responsibility to stay abreast of developments communicated in this fashion.

  • RENEWAL: The term of this agreement is one (1) year from the date this Application is received and approved by GO Hairdressers Club. If GO Hairdressers Club does not notify Member within two business days that the Application has been denied, it shall be deemed accepted as of its date. There is new renewal fee to renew this Agreement and it shall renew automatically if Member has paid the fee.

  • CONFIDENTIAL: Member understands that the GO Hairdressers Club membership information is considered trade secrets of GO Hairdressers Club. Member hereby agrees to not directly or indirectly disclose or use any of said confidential or membership information except to specifically promote Member's independent GO Hairdressers Club business in accordance with the provisions of this Agreement.

  • MULTIPLE MEMBERSHIPS: GO Hairdressers Club is in the business of selling memberships and any person or other legal entity that has a need for more than one membership may buy as many memberships as desired.

  • COMMISSIONS: Member understands that although Member may refer other Members into the GO Hairdressers Club Program, the Membership does not allow Member to profit solely from the activity of referring other Members. Commissions are paid only on direct recommended by Member that is made which was referred by Member's name and reference number in application form. Member understands that recommendation and other product sales commissions shall be paid only to the qualified Member. Member shall not make any income representations except those set forth herein or otherwise specifically set forth in official GO Hairdressers Club material.

  • LOGO, TRADE MARKS & MATERIALS: Member will not use the GO Hairdressers Club logos, trade names and/or trademarks except to promote the GO Hairdressers Club. In all such authorized use, Member will make clear that Member is an Independent Distributor and the advertising is the Member's and not the GO Hairdressers Club's. Sales of marketing materials by GO Hairdressers Club are not commissionable. GO Hairdressers Club makes no warranty, express or implied, with respect to the use, efficacy or suitability for any purpose with respect to any such marketing material unless otherwise explicitly stated in writing in connection with the purchase thereof.

  • MEMBER INFORMATION: All registration information provided by a Member to GO Hairdressers Club must be accurate, current and complete. Member must update, maintain and correct registration information if it changes. In order to change any of Member information or profile, Member must use the ID and the Password that Member selected.

  • FEES: Member shall prepay fees for the GO Hairdressers Club membership, which are due immediately and non-refundable after purchase. Member shall not receive refund when memberships removed due to violation of this agreement or any other agreement applicable to its use. Member agrees to maintain Member's account with GO Hairdressers Club, if any, in accordance with this Agreement and current rates and prices quoted. Member further agrees that GO Hairdressers Club may charge Member's credit card and/or offset any commissions owed against any charges incurred under this Agreement. GO Hairdressers Club shall have the right to disconnect service for non-payment of billing charges.

  • SECURITY: Each Member must keep any GO Hairdressers Club passwords and other secure access information confidential and notify GO Hairdressers Club promptly if the Member believes that the security of an account has been compromised. GO Hairdressers Club has taken reasonable steps to protect the security of online transactions. However, GO Hairdressers Club cannot and does not warrant such security and will not be liable for any losses or damages resulting from any security breaches.

  • MISUSE: Member shall not engage in spamming in order to promote the Member's business. Its includes, mass mailings akin to junk-mail, either to news groups or unsolicited commercial and/or informational email, including, without limitation, commercial advertising and informational announcements, sent to people not known personally, unless the recipients have expressly asked to receive email announcing programs of this type. And, a newsgroup article, or essentially the same article with small changes, posted an unacceptably high number of times to one or more newsgroups, (Content is irrelevant.) or Usenet, chat room or message board postings that are unrelated to the topic of discussion of the particular news group, chat room or message board. Sites may not contain or transmit any file or software with a virus or other contaminating or destructive features. No Member may in any manner interfere with the content of other sites or the system. Sites may not use excess system resources or otherwise, in GO Hairdressers Club's sole judgment, use resources in a manner that damages its system.

  • RESPONSIBILITY: Materials included on websites may include inaccuracies, errors, reliability or out-and-out untruths. GO Hairdressers Club has no liability or responsibility for any content, including the quality, accuracy, completeness, legality, timely, secure or usefulness of any information, product, service or process promoted on Member websites. In no event shall Go Hairdressers Club be liable for any claims or damages of any kind arising from the contents of member's website. References in Member's site to products, services, processes, hypertext links to third parties or other information by trade name, trademark, manufacturer, supplier or otherwise do not constitute or imply an endorsement or recommendation by GO Hairdressers Club. Product and service information is the sole responsibility of each individual site owner/user. Members are solely responsible for compliance with laws governing the offering, sale, licensing, or other marketing and taxation of any products. On occasion, GO Hairdressers Club will undergo routine maintenance or experience unexpected technical problems. GO Hairdressers Club will make a good-faith effort to do maintenance as quickly and conveniently as possible, and to respond to technical problems promptly. GO Hairdressers Club may be required to access a Member's website from time to time to provide maintenance. GO Hairdressers Club will not in any circumstance be responsible for problems, losses, or damages arising from loss of connectivity; errors in content due to application problems; loss of access by Members; or temporary or permanent loss of data.

  • INDEMNITY: GO Hairdressers Club harmless against all claims made by any third party, and any related damages, liabilities, claims, costs and expenses, arising out of or connected with the member's conduct, the member's website or online store, the goods or service the member offers, or any violation of this agreement by member.

  • LIMITATION OF LIABILITY: GO Hairdressers Club makes no warranties, express or implied, related to the membership, products or services supplied hereunder or marketing materials sold, including but not limited to warranties of merchantability and fitness for a particular purpose. GO Hairdressers Club will not be liable to any Member for indirect, incidental, special or consequential damages, such as loss of profits or business interruption, arising out of or connected to the use of, or inability to use, the membership, related services, products or marketing materials provided to any Member. The total liability of GO Hairdressers Club for any and all damages arising from or connected with this Agreement, the membership or the services, products or marketing materials provided to any Member shall not exceed the total fees paid by the Member to GO Hairdressers Club during the 12-month period immediately preceding the initial occurrence of the event causing the damages.

  • TERMINATION: Member may voluntarily terminate this Agreement by sending notice at any time for any reason. If Member terminates this Agreement, that Member shall not be allowed to become a Member again for a period of twelve (12) months. If Member re-joins in violation of this policy then that Member shall be terminated. If Member re-joins under other recommend-Member, that recommend-Member shall not be allowed to earn any commissions from Member.

  • PENALTY: If Member breaches any of the provisions of this Agreement, violates any applicable law or regulation or engages in any false, misleading or unfair trade practice, any such Violation is grounds for the imposition of penalty, as more fully set forth hereafter. GO Hairdressers Club may suspend Member, including suspension of commissions earned at the time, pending investigation of any alleged Violation. Member shall be given notice of the alleged Violation by email, fax or other rapid method of communication and shall have seven days thereafter to respond to any alleged Violation(s), failing which, GO Hairdressers Club can consider the allegations to be true. Member can request that any decision to impose a penalty be reviewed and supply any additional material that may bear on the matter in support thereof within seven (7) days after notice of the penalty is given. GO Hairdressers Club shall then advise Member of its final decision. GO Hairdressers Club shall have the option of imposing any one or more of the following penalties for Violations: disabling of any website of Member; denial or revocation of any achievement awards otherwise earned; denial of credit for commissions of multiple websites due to falsely representing need for them; imposition of a fine in an amount to be determined by GO Hairdressers Club; and/or termination of the Member's Agreement.

  • OFFICIAL LANGUAGE: The English version of this Agreement, as maintained by GO Hairdressers Club, is the official version and shall control over any other language version(s) which may be made available for ease of reference for some Members.

  • APPLICANT ACKNOWLEDGEMENT: Member acknowledges that Member has read, understands and agrees to the terms set forth in this Agreement, or policies that are or may be published by GO Hairdressers Club. Member understands that this Agreement is not in force until accepted by GO Hairdressers Club.

  • COPYRIGHT AND TRADEMARK NOTICES: All contents of the membership are: Copyright GO Hairdressers Club and/or its suppliers. All rights reserved. GO Hairdressers Club products and/or services referenced herein are trademarks or registered trademarks of GO Hairdressers Club, Inc. Other product and company names mentioned herein may be the trademarks of their respective owners.

  • ADDITIONAL TERMS: The User Agreement applies in addition to the above terms.

  • AREA PORTAL SPECIFIC TERMS: The E-franchise Policy applies in addition to the above Agreement if member is applicant of Area Portal E-franchise.
